Private Limited Company Registration Process in India, Step to follow are:-
- Name Approval :- First step is to select or choose name of company, following the guideline for selecting the name of company
Only ONE UNIQUE name can be applied for Incorporation depending upon availability of name)
Note: The name must be in 3 parts, as given below:
- 1st Part
– must consist of Keyword
- 2nd Part – must consist of the Activity Word which clearly speaks about the business
- 3rd Part – Structure Name

Note:- It is not compulsory to take name approval ,You can filled incorporation form without taken prior approval of name but if name will not be approve in the process of incorporation than all documents will be prepare again.
- Digital Signature :- Minimum 2 director and Promoter Required for incorporation of Private Limited.

- Documents :-
A- List of documents to be submitted by the Director and the Shareholders:
a) PAN Card (mandatory)
b) Residential Address Proof – Bank Statement ,Telephone bill ,Mobile bill , Electricity bill (any one)
c) Proof of Identity – Passport ,Voters Id , Driving License, Aadhar Card (Any One)
d) Passport size photos – 1 photos for each Director and sbscriber.
e) Place of Birth (District & State) – Mandatory;
f) email address and Mobile no.
h) Educational qualification;
i) Residential status; Period of stay?? If period of stay in the said premises is less than one year then – Proof of previous place of residence;
j) Present Occupation; Note: If Present and Permanent Residential Addresses are different then self attested documents for both the addresses shall be provided.
B- Requirements for Registered Office Address Proof –
1) If any utility bill like Electricity bill, telephone bill is provided, it should not be older than two months , NOC required
2) Rented / taken on lease; rent agreement + utility bill and NOC is also required if the premises is rented.
- Incorporation Form Preparation :- For the Incorporation of Private limited Company Spice , Spice-MOA and Spice-AOA should be prepare and submitted.
After the summation of form if there will not any error or all compliance found ok than ROC issued Incorporation certificate if roc found any error or any incomplete compliance then roc send the form for resubmission.
- Business Commencement form :- After getting incorporation certificate every company is liable to field form-20A (Business Commencement Form) with in 180 days from the date of incorporation. For filling of this form only after opening the bank account of company and all subscriber/shareholder deposited their amount which agree to take in MOA.
Minimum Requirement for Private Limited Company Registration in India
- Directors
1. Minimum: 2 Directors
2. Maximum: 15
3. Out of all the directors at least one director should be an Indian Resident.
- Shareholders
1. Minimum: 2 Shareholders
2. Maximum: 200 Shareholders
- Minimum 1 lac authorized capital requirement
- Mandatory DSC of all director and subscriber if the subscriber is seven or below but in case subscriber’s are more than 7 than only one director DSC is required.
